Definitions

Disclosure: The definitions below reflect how the words are used exclusively within Rmarketplace and with its member Establishments. 

Lawful and Legal:

• Lawful is based on our common sense of justice.

• Legal is based on statutory law, which restricts the law and needn’t be just.

Life, liberty, and the pursuit of happiness:

·        Ultimately these are a matter of tending to the Body, Mind, and our inspiration, aka Spirit. 

·        These are lawfully distinct from legal jurisdiction, title, and ownership, respectively. 

The Living, Breathing, Spiritual Being:

• is the private non-fictional natural organic living being in the intended private “Garden of Eden” with full abundance
• is distinct from the corporate fiction experienced in the traditional commerce model, which may tend to impair or impede commerce
• is distinct from the corporate entity in Rmarketplace, which facilitates commerce and serves as the shield to the living, breathing, spiritual being  
• is the authorized party to autograph on behalf of the member Establishment issued by Rmarketplace
• is the Authorized Representative and Overseer of its member Establishment

-        with undivided unencumbered exclusive interest in and total control of its private member Establishment within Rmarketplace

-        who controls, manages, and oversees its member Establishment and its membership commercial operations within Rmarketplace private membership commerce plaza

The Spiritual Being:

• A common worldview is that we are spiritual beings having a human experience.

Commerce:

·        is the exchange of goods and services between two or more entities

Contract:

• is a meeting of the minds with full disclosure
• is about an activity that will benefit both contracted parties as expressed in the form of an offer and acceptance 
• is clear, transparent, moral, ethical, lawful, and sound among contracted parties
• is based on the capacity, competency, and authority of both contracted parties to perform
• is based on justification, clarification, and the promise of compensation 
• The spirit of every contract is intent.

Member: 

• is a Buyer/Patron, Seller/Vendor, and/or a member Establishment issued by Rmarketplace to operate within Rmarketplace private commerce plaza. 

Buyer

• is a man, woman, or entity that takes ownership of some asset in exchange for some monetary remuneration. 

• In Rmarketplace, a private commerce plaza, an exchange of ownership is based on a meeting of the minds.

Patron

• is a supporter without necessarily being a buyer.

Seller/Vendor

• is a member Establishment issued by Rmarketplace that sells goods or services to a buyer

• In Rmarketplace, a private commerce plaza, one who warrants to the buyer accurate and complete representation of a good and/or service. 

All goods and services between parties shall have and be provided with integrity, honesty, and transparency, obviating caveat emptor, “buyer beware”.

• In Rmarketplace, a seller/vendor shall be the Authorized Representative and the Overseer of its member Establishment with undivided unencumbered exclusive interest in and total control of its private member Establishment within Rmarketplace private membership commerce plaza.

Rmarketplace:

• is an unincorporated closed-loop private membership business community and virtual international commerce plaza that aims to: 

·        facilitate honest exchanges of goods and services within Rmarketplace membership 

·        facilitate healthy social relations and healthy communities

·        implement our right to issue the money to realize our full potential and contribute to our communities in ways our communities value 

• authorizes Nadabanc to issue the Replik, Rmarketplace’s private circulating medium of exchange 

Rmarketplace Private Commerce Plaza 

• an unincorporated private membership commercial marketplace consisting of like-minded small business entrepreneurs and social enterprises

• Rmarketplace private commerce plaza = Rmarketplace private commerce association

Rmarketplace Commerce Center 

·        a collaboration of specific entities serving a specific purpose for a specific duration

·        requires a Rmarketplace licensed non-franchised member agreement 

·        multiple commerce centers can make up Rmarketplace sub-plazas

·        aka Rcommercecenter

member Establishment:

• member Establishments are unincorporated private entities within Rmarketplace private membership commerce plaza. 
• Rmarketplace members are the member Establishments and the member Establishments are the Rmarketplace members. 
• Rmarketplace issues member Establishments as a condition to be a member of Rmarketplace private association.
• The member Establishment is the shield that allows the living, breathing, spiritual being to engage in commerce throughout the Rmarketplace without the liability of ownership. 
• The living, breathing, spiritual being controls, manages, and oversees its private member Establishment shields within Rmarketplace. 

Overseer of the member Establishment:

·        is the living, breathing, spiritual being conducting commerce within Rmarketplace through private membership via the member Establishment.

Authorized Representative:

·        is the Overseer of the member Establishment authorized by Rmarketplace Membership Agreement to autograph on behalf of the member Establishment.

DBA:

·       Doing Business As

Nadabanc:

• issues Repliks through the authorization of Rmarketplace
• is a money-exchanger that facilitates the exchange of Repliks for other currencies and financial instruments 

• is the liaison between the private and the public through mediums of exchange

• implements the wishes of the members of Rmarketplace

Replik:

• is the private medium of exchange exclusively within Rmarketplace private membership 

• is a stable coin
• it uses the US dollar as a basic unit of value*    

• is issued by Nadabanc through the authorization of Rmarketplace
• is issued in proper proportion to represent value, present and intended, and managed accordingly 
• is issued and managed to create healthy communities, including building the basis for providing the resources to assure abundance;

·        that we, the people at large, need to live

·        based on what we, the people’s capacities warrant  

·        based on the wealth the community creates together, and 

·        based on common sense consent-based decision-making by each community.

*Note: Currency is both Unit of Value and Medium of Exchange. Since the dollar is the unit of value, then the Replik is only the Medium of Exchange.

Rwallet:

• is a private escrow/bank account within Rmarketplace.
• Anything to do with funding goes into one’s private Rwallet, controlled by the Overseer of the member Establishment.

Rpoints:

• are rewards for participation in Rmarketplace
• are owned by Rmarketplace buyer and seller members as a result of participation through a smart contract
• are obtained by buying, earning, or being gifted them
• 4 point features

·        Universal Gift Card; one card for everything 

·        augment income

·        earned by participation, which can be turned into spendable Repliks

·        reward customer loyalty

Purpose of Rmarketplace

The purpose of Rmarketplace is to create together the ideal social future, as inspired from our self-governing communities. It is to serve as a tool of community to inspire us to do what we love to do, and provide a vehicle that navigates through all walks of commerce in ways that serve and nourish our souls and global communities. 

Vision of Rmarketplace

1.      Rmarketplace serves as a community-building tool by providing a context wherein we may inspire one another to do what we love to do.  

2.      Rmarketplace issues member Establishments as members to distinguish our private inspired human relations from our contractual relations in commerce.  We create something out of our private endeavor which then moves from production to distribution to consumption through our member Establishments in Rmarketplace commerce plaza. 

3.      Rmarketplace is made up of unrestricted, unencumbered, private exchanges that are totally transparent and exclusively between and for the benefit of both the seller and buyer.  

4.      Exchange creates a surplus that Nadabanc can quantify and monetize.  Commerce in Rmarketplace, made up of multiple private exchanges, benefits the parties to the exchange as well as the community at large.  

5.      Members are endowed and free to fully engage in creating their life-empowering world.

6.      The Rmarketplace monetary system is based on consent-based self-governance, enabling our healthy common sense to manage the Replik (our private currency) to benefit everyone.

7.      Rmarketplace may offer license agreements to member Establishments to create a Commerce Center so as to:  

• expand business opportunities 

• collaborate with other Commerce Centers to create a private member network within the Rmarketplace private commerce plaza

Preamble

Everything changes when we, the people at large, learn from history and create the marketplace we desire. Our mission is to reorganize so as to avoid as well as improve upon what we have been experiencing in the current international marketplace models. Rmarketplace encourages that commerce contribute to satisfying members’ needs, fulfilling their desires, and nourishing their souls, with all parties whole and balanced. The world is ultimately beautiful and shall be so inside Rmarketplace private commerce plaza. Ideally, this is a matter of tending to the Body, Mind, and inspiration, aka Spirit, and up to each member as inspired from their self-governing communities. The following are suggestions for inspiration and collaboration.

·        The purpose of Rmarketplace is to serve as a tool of community to inspire we, the people at large, to do what we love to do, and provide a vehicle that navigates through all walks of commerce in ways that serve and nourish our souls and global communities.

·        We, the people at large, are issued member Establishments as exclusive members of Rmarketplace to participate in commerce and create the conditions we desire. As such, we, the people at large, control, manage, and oversee each of their member Establishment operations.

·        Rmarketplace provides a forum where member Establishments share their gifts and talents, and exchange their goods and services.

·        All member Establishments participate as inspired.

·        Education

A Commerce Training session within Rmarketplace private association is available upon my request.

Rmarketplace Principles

All Rmarketplace members shall adhere to specific principles, namely:

·        Abide by the principle “Do no harm”.

·        Abide by organic and foundational law, namely, our common sense of justice via Common Law, aka law of the land, and The Laws of Nature and of Nature’s God. Reference: Public Law 97-280 in 1983.

·        Operate with integrity and fully integrated honesty and transparency between the contracted parties.

·        Stay in honor.

·        The means assures the end. We tend to the manner and process toward the end result, not merely focus on the end.

·        Strive to create the ideal social future in the ways it conducts its affairs, as inspired from our self-governing communities. 

·        Everything is a result of a voluntary initiative.

·        Decisions are made by active consent. 

·        The living, breathing, spiritual being controls, manages and oversees the member Establishment. 

·        The member Establishment is the shield that protects the living, breathing, spiritual being from the member Establishment’s commercial activities within Rmarketplace.

·        Contractual obligations are clear, transparent, moral, ethical, lawful, and sound between the contracted parties.

The means assures the end 

·        We tend to the manner and process toward the end result, not merely focus on the end.

·        All is created with integrity, honesty, and transparency among the members as primary.

·        All contracts are clear, transparent, moral, ethical, lawful, and sound between the contracted parties.

·        All goods and services between parties have and are provided with integrity, honesty, and transparency, obviating caveat emptor, “buyer beware”.

·        All projects seeking funding shall be submitted by the member Establishment to the Finance Committee for vetting and curating.

·        We, the people at large, who control, manage, and oversee each of their member Establishment operations, assure all member Establishments are whole and balanced. 

As such, all member Establishments shall adhere to the specific principles in this Rmarketplace Membership Agreement.

Finance Committee

Any and all committees shall operate based on active consent-based decision-making for the overall common good. 

The Finance Committee:

·        is a third party sub-contracted self-governing committee consisting of like-minded small business entrepreneurs and social enterprisers following the principles laid out herein whose member Establishments are in good standing within Rmarketplace.

·        facilitates agreements into commerce

·        underwrites and submits to Rmarketplace financial requests to fund projects

• Rmarketplace authorize Nadabanc to issue Repliks for the projects
  
  

·        accounts for and mitigates any unintended consequences

·        shall not have any role that controls the intent nor operation of Rmarketplace 

All projects seeking funding shall be submitted by the member Establishment to the Finance Committee for vetting and curating.

Rmarketplace shall honor the Finance Committee's agreement. 

All member Establishments are encouraged to actively participate, or participate through proxy, in the Finance Committee.

Rmarketplace Entities

The Living, Breathing, Spiritual Being

· is the private non-fictional natural organic living being in the intended private “Garden of Eden” with full abundance.

· is the authorized party to autograph on behalf of the member Establishment issued by Rmarketplace

·        is the Authorized Representative and Overseer of its member Establishment

-        with undivided unencumbered exclusive interest in and total control of its private member Establishment within Rmarketplace

-        who controls, manages, and oversees its member Establishment and its membership commercial operations within Rmarketplace private membership commerce plaza

Rmarketplace 

 · is an unincorporated closed-loop private membership business community

 · is a virtual international commerce plaza

 · is a private unincorporated entity within the international community governed with the principles of Common Law

 · has the authority, through the Rmarketplace Membership Agreement, to issue member Establishments to participate in its closed-loop private commerce plaza 

 ·uses the unincorporated Nadabanc as the liaison between public and private means of exchange.

 ·provides Nadabanc the authority to issue Repliks

 ·uses the Replik as the private means of exchange among Rmarketplace private member Establishments through Nadabanc. 

·   Rmarketplace aims to:

 · make the exchange of goods and services honest within Rmarketplace membership 

·facilitate healthy social relations

·build healthy communities

Nadabanc

·        Nadabanc is the authorized private money-exchanger and liaison to public international commerce outside of the Rmarketplace commerce plaza.

·        Nadabanc issues and manages the Replik, Rmarketplace private currency. 

·        Nadabanc facilitates the means of exchange, international commerce, and the exchange of currencies through the Replik. 

·        Nadabanc brings the best products in the banking industry and provides them exclusively to Rmarketplace

·        Member Establishments have an undivided interest in Nadabanc.

·        Upon receiving an Rmarketplace Membership Agreement, Nadabanc will:

    issue a private code exclusive to each member Establishment to be used for the commercial activities within Rmarketplace

·        issue an exclusive Rwallet private escrow/bank account, smartphone mobile app, and/or laptop/desktop personal computer for each member Establishment to access its individual account.

Replik 

·        The Replik is issued as the means of exchange within Rmarketplace.

·        The Replik represents the values being traded and created in the collaborative economy we desire.

·        The Replik is managed to build the basis for providing the resources members need to live and based on what their capacities warrant.  

member Establishment

What

·        A member Establishment is a private entity that conducts commerce as an exclusive member within Rmarketplace closed-loop private commerce plaza.

·        Rmarketplace issues member Establishments to participate in commerce within Rmarketplace private commerce plaza association. 

·        Rmarketplace issues member Establishments as the shield to protect the privacy of the living, breathing, spiritual being.

·        The member Establishment is the shield that allows the living, breathing, spiritual being to engage in commerce throughout the Rmarketplace without the liability of ownership. 

·        The living, breathing, spiritual being is the Overseer of their member Establishment who controls, manages, and oversees its operation in commerce. 

·        The member Establishment participates and operates in commerce exclusively within Rmarketplace. 

·        Member Establishments are the only exclusive members of Rmarketplace.

·        The purpose of member Establishments is to perform commercial contractual agreements according to the principles of Common Law within Rmarketplace private association. 

• Freedom to contract is a primary principle in Common Law. 
• The private Rmarketplace member Establishment Agreement authorizes the founding and issuing of the member Establishment.

Why

·        People have no business in business. 

·        The member Establishment is intended as a shield to keep out of commerce and protect the privacy of the living, breathing, spiritual being. 

How

·        Participation in Rmarketplace shall be in the form of a member Establishment issued by Rmarketplace and exclusively controlled by the living, breathing, spiritual being.

·        Only the member Establishment shall be operating in commerce within Rmarketplace private commerce plaza. 

·        Member Establishments shall abide by Rmarketplace principles outlined herein.  

·        Rmarketplace serves as a vehicle for commercial transactions to take place among member Establishments within Rmarketplace private commerce plaza. 

·        Each living, breathing, spiritual being has an undivided unencumbered exclusive interest in and total control of its private member Establishment.

• The living, breathing, spiritual being controls, manages, and oversees its member Establishment and its commercial activities throughout Rmarketplace. 
  
  

·  Commercial transactions among member Establishments are private agreements without third party contribution. 

·   Member Establishments shall have their own exclusive contract between other member Establishments, without control of nor restriction from Rmarketplace, Nadabanc, nor any public commercial entity or arena.

·  Member Establishments are authorized to manage, buy, sell, loan, lease, donate, own, assign, pledge, will, transfer, etc. They are authorized to do any moral, ethical, and lawful commercial activities as long as they abide by the principles within this Rmarketplace Membership Agreement and do no harm.

·  Member Establishments can be issued to any publicly registered corporate entity or unregistered entity seeking the benefits of Rmarketplace membership.

·  Logistics/Operations of member Establishments

·        The Rmarketplace Membership Agreement is the authority for Rmarketplace to issue the member Establishment as the shield, operator, and exclusive member in the Rmarketplace private commerce plaza. 

·        The private Rmarketplace Membership Agreement authorizes the founding and issuing of the member Establishment with a Notice of Issuance.

· Nadabanc will:

· issue a private code exclusive to each member Establishment to be used for the commercial activities within Rmarketplace

·  issue an exclusive Rwallet private escrow/bank account, smartphone mobile app, and/or laptop/desktop personal computer for each member Establishment to access its individual account.

· All member Establishment information is private, unless harm is done, in which case the information becomes public for the purpose of a discovery and conflict-resolution process. 

· marketplace provides a marketing forum to identify member Establishments and their contact information, as authorized by each member Establishment 

· Each member Establishment can specify the goods and services it is offering, its specific purpose (the why), vision (the what), mission (the how), its private website, etc. in Rmarketplace marketing forum.

· Member Establishments can participate in Rmarketplace as a consumer, producer, distributor, merchant, patron, and/or observer.

· Projects and Contracts

·   The member Establishment may submit to a third party sub-contracted self-governing Finance Committee the following:

·        Financial projects deemed to be in the best interest of Rmarketplace members 

·        Financial projects deemed to be in the best interest of building healthy communities

·        Financial projects deemed to be in the best interest of we, the people at large

·        Financial projects that assure collaboration rather than compulsion

·        Project Contracts, to ensure they are clear, transparent, moral, ethical, lawful, and sound. 

·        The member Establishment shall submit Project Contracts to the Finance Committee for vetting, curating, and funding. 

·        Project Contracts must abide by Rmarketplace principles, outlined in the Rmarketplace Membership Agreement.

Private Medium of Exchange

We, the people at large, through our Rmarketplace member Establishments, benefit by using a private stable medium of exchange in the form of the Replik. The Replik is authorized by Rmarketplace as the exclusive private means of exchange to create and be in the world we know in our hearts is possible; a free, peaceful, healthy, just, collaborative, life-empowering, and regenerative world where we all thrive.

·        Rmarketplace is a closed loop commerce plaza in which the Replik is the exclusive means of exchange.   

·        Each Replik is an ownership certificate in the mission of Rmarketplace.

·        The Replik is a stable digital medium of exchange that uses the US dollar as a basic unit of value.*

*Note: Currency is both Unit of Value and Medium of Exchange. Since the dollar is the unit of value, then the Replik is only the Medium of Exchange.

·        In the private, member Establishments use the Replik as the primary tool of commerce, issued by Nadabanc as authorized by Rmarketplace, based on an agreed upon unit of value and exchange rate.

In the public, Nadabanc exchanges international currencies with Repliks so that the member Establishments can participate within and out of Rmarketplace private commerce plaza. 

Conflict Resolution among member Establishments

·        Within the scope of Rmarketplace, commerce is defined as the exchange of goods and services between two or more entities.

·        Rmarketplace members are made up of Buyers/Patrons and Sellers/Vendors.

·        Rmarketplace members shall agree to use Rmarketplace as designed, namely to build healthy communities by promoting commerce and facilitating trade based on moral, ethical, and lawful commercial activities.

·        Rmarketplace members shall abide by the principle “Do No Harm” and the principles outlined herein.

Upon discovery of any conflict, dishonor, abuse, and/or damages, the remedy for a Rmarketplace member is found in the spirit of the Rmarketplace website menu on Resolving Conflicts, presently available at Private International Administrative Process to Remedy Conflict by Agreement.

·        If any Rmarketplace member suspects harm or is suspected of harm, the Rmarketplace website menu on Resolving Conflicts may provide public or private remedies. 

·        Because Rmarketplace is a commercial infrastructure to facilitate commerce within the Rmarketplace commerce plaza and is not party to the private contracts between Rmarketplace members, all Rmarketplace members, including member Establishments, shall hold Rmarketplace harmless of any litigation the members may be party to within as well as outside the Rmarketplace private commerce plaza.

Active Consent-Based Self-Governance

·        Active Consent involves all relevant parties to a decision-making process wherein decisions are made based on the active consent of all participants. Consent means no paramount objections, good enough for now, safe enough to try, with a method of evaluation within a timeframe. Well-reasoned arguments and objections are welcome to account for unintended consequences. 

·        Rmarketplace members are encouraged to create consent-based self-governing communities based on what they agree is in the best interest of we, the people at large, and their respective communities. 

·       Private self-governing communities are made up of member Establishments within the Rmarketplace Commerce Centers.

·       Public self-governing communities operate outside Rmarketplace private commerce association.

    ·      Self-governing communities within Rmarketplace are encouraged to promote life-empowering principles and guidelines to build healthy communities. 

Examples: Do no harm. Comprehend Money, establish Common Good communities based on community-created credit. Establish true cost to prevent the externalization of costs to the society and environment. Establish parity. Account for seigniorage (net revenue gained after production costs). Etc.

·        When the agreements of self-governing communities develop into a commercial event requiring a commercial contract, then Rmarketplace and Nadabanc have the authority to perform its duties and obligations according to the Rmarketplace Membership Agreement.

·        The Finance Committee is the liaison between all the members in their self-governing communities and Rmarketplace. Rmarketplace authorizes Nadabank to issue Repliks for financial projects. 

·        Rmarketplace can post, publish, and announce on behalf of general and specific communities.   

·        Rmarketplace can make available a scalable consent-based decision-making and self-governance structure and process for its member Establishments.

·        Everything available in Rmarketplace is based on the common sense, sound judgment, and mutual agreement of Rmarketplace community members.

·        Members’ self-governing communities are encouraged to establish Rmarketplace local Committees to serve as a steward of members’ respective local Rmarketplace community. 

·        All member Establishments are encouraged to actively participate, or participate through proxy, in these Rmarketplace local Committees. created by members’ self-governing communities, to serve as a steward of members’ respective local Rmarketplace community. 

Note: Rmarketplace Committees shall not have any role that controls the intent nor operation of Rmarketplace. 

Examples of what the members within Rmarketplace could be deciding upon in their self-governing communities

Note: The following suggestions by other members are considered worthy of review, consideration, and further investigation.

• ·        What responsibilities shall we have as community members and a community to ensure integrity in commerce?
• ·        What is the best and most appropriate active consent-based self-governance model, structure, and process? For example: Dynamic Governance

The Sample By-Laws for Jural Assembly Communities are a starting point intended to provide ideas that communities and organizations may appreciate as well as adapt as needed, desired, and inspired.

Implementation of bylaws are intended to reflect, not prescribe, how the communities and organizations are functioning and what they succeed in implementing. 

Each community and organization shall have its say on how it functions and what it implements, and can adapt the sample bylaws accordingly.
